Welcome to Kodimy (“Company”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your use of our website at kodimy.com and the professional digital services provided by Kodimy, including digital marketing, search engine optimization (SEO/AEO/GEO), web development, ecommerce engineering, and software development.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the service.

1. Services & Scope of Work

Kodimy provides bespoke digital growth services including but not limited to:

  • Digital Marketing & Performance Strategy (SEO, AEO, GEO, Paid Advertising)
  • Full-Stack Web Design & Development (WordPress, Custom Code, Headless)
  • E-Commerce Engineering & Marketplace Management (Shopify, WooCommerce, Amazon, eBay)
  • Custom Business Software & Cloud Management Systems

All specific deliverables, timelines, and budgets are defined in project statements of work (SOW) or service agreements executed between Kodimy and the client.

2. Client Responsibilities

To ensure successful project delivery, clients agree to:

  • Provide accurate, complete, and timely information, assets, and approvals required for work execution.
  • Ensure that all content, imagery, trademarks, and data supplied do not infringe on any third-party copyrights or intellectual property rights.
  • Maintain the security and confidentiality of any credentials or administrative accounts issued for client access.

3. Intellectual Property Rights

Unless otherwise agreed in a written agreement:

  • Upon full payment of all contractual fees, full ownership and copyright of final custom deliverables (such as website frontend design and custom code built specifically for the client) transfer to the client.
  • Kodimy retains all rights to its pre-existing proprietary tools, frameworks, workflow libraries, and general methodologies.
  • Kodimy reserves the right to showcase completed non-confidential work and case studies in our digital portfolio.

4. Payment Terms & Invoicing

Fees for services will be invoiced according to the payment schedule outlined in your agreement. Invoices are payable within the net terms specified upon receipt. Late payments may result in temporary suspension of active sprint work or deliverables until accounts are brought current.

5. Confidentiality & Data Security

Both parties agree to protect and keep confidential any proprietary business data, strategic materials, source credentials, and customer information disclosed during the course of the engagement. Please review our Privacy Policy for full details on how we handle personal data.

6. Limitation of Liability

In no event shall Kodimy, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of our services.

7. Amendments & Modifications

We reserve the right to revise or update these Terms at any time. When updates are published, the revised date at the top of this document will be updated. Your continued use of our services constitutes acceptance of the modified Terms.
